    Được biết, Vietnam Lotus Holding là công ty quản lý quỹ đầu tư mua bán và sáp nhập doanh nghiệp theo mô hình đặc biệt (SPAC) do Ủy ban Chứng khoán Mỹ quy định (Special Purpose Acquisition Company). Trao đổi với báo chí, ông Hà Văn Thắm cho biết: ?oVietnam Lotus Holding sẽ được niêm yết trên sàn chứng khoán trước khi đầu tư, theo quy định của UBCK Mỹ và sẽ thực hiện việc đầu tư, mua bán, sáp nhập với các công ty thuộc các ngành kinh tế mũi nhọn như Tài chính, Ngân hàng, Hạ tầng, Năng lượng? tại Việt Nam?.

    Trong hoàn cảnh khó khăn của nền kinh tế toàn cầu, SPAC đang nổi lên như một mô hình quỹ đầu tư mới, được quan tâm nhất tại Mỹ do tính chất đặc thù là đầu tư dài hạn và chắc chắc. Vietnam Lotus Holding hoạt động theo mô hình SPAC đã đáp ứng được nhu cầu của nhiều nhà đầu tư Mỹ là có một kênh huy động vốn uy tín và hiệu quả để tham gia thị trường Việt Nam, được đánh giá là thị trường kinh tế tiềm năng trung và dài hạn.

    Vietnam Lotus Holding được thành lập là một cơ hội rất tốt cho Tập đoàn Đại Dương, Ngân hàng Đại Dương (OceanBank) trong việc huy động vốn từ thị trường Mỹ.

    Ngoài việc ký kết thành lập Vietnam Lotus Holding, ông Hà Văn Thắm cũng đã đại diện cho Công ty chứng khoán Đại Dương ký kết thỏa thuận với Công ty luật lớn thứ 5 Hoa Kỳ - Womble Carlyle Sandridge & Rice để tư vấn cho các doanh nghiệp Việt Nam niêm yết trên sàn chứng khoán Mỹ.

    Alcoa Signs Agreement In Vietnam For Alumina,Bauxite Projects

    SINGAPORE -(Dow Jones)- U.S. aluminum producer Alcoa Inc.''s (AA) World Alumina and Chemicals affiliate signed a cooperation agreement with Vietnam''s state- owned mining group to develop a 600,000 metric ton alumina refinery, and will conduct a feasibility study for a separate bauxite and alumina refinery project, the company said Tuesday.

    The agreement is a significant breakthrough in a long-drawn out effort by foreign mining companies to gain access to Vietnam''s rich bauxite deposits, which some estimate to be hold between two billion and eight billion metric tons, roughly 5% of world reserves.

    It also stands to give Alcoa a bigger foothold in Asia, one of the biggest consuming regions in the world.

    "It''s moving us forward," Kenneth Wisnoski, president of Alcoa''s Global Primary Products, told Dow Jones Newswires by telephone. "This is a pretty encouraging step."

    The cooperation agreement gives AWAC, an alliance between Alcoa and Alumina Ltd. (AWC) in which Alcoa holds 60%, the right to purchase a 40% stake in a joint stock company that owns the Nhan Co bauxite mine and the 600,000-ton alumina refinery after conducting due diligence.

    Vietnam National Coal Mineral Industries Group will hold a majority stake at 51%, and the Vietnamese public will be offered a 9% shareholding.

    AWAC will also conduct a feasibility study on the Gia Nghia bauxite mine and alumina refinery project, which Alcoa projects would produce between 1 million and 1.5 million tons of alumina per year in its first stage.

    Bauxite is the raw material for alumina, which is the raw material for aluminum.

    Alcoa hasn''t made a bauxite reserves estimate yet for the Gia Nghia deposit, but it believes from initial tests that the reserves are substantial, Wisnoski said. "It is a fairly large reserve. We''ve done sampling and the bauxite ( quality) is very good."

    The cooperation agreement follows quickly upon a directive in May from Vietnamese Prime Minister *************** that gave Vinacomin permission to offer Alcoa a 40% stake in a domestic joint venture.

    Alcoa, along with BHP Billiton (BHP.AU) and Aluminum Corp. of China (2600.HK), has shown interest in Vietnam since as early as 2002, but negotiations over projects have been bogged down over the size of Vinacomin''s stake and the form of the partnership.

    Alcoa earlier in 2006 signed a memorandum of understanding with Vinacomin to explore a refinery and bauxite project in Dak Nong province that gave the state- owned group a 51% stake and AWAC a 49% stake.

    Wisnoski said the joint stock structure was the government''s preferred method to achieve its development objectives for the aluminum industry and for the central Highlands, where both projects are located and which is one of the poorest regions of the country. The joint stock company "conceivably could be listed," but this is something Alcoa would discuss with Vinacomin, he said.

    Alcoa didn''t give any estimates on the size of the investment the two projects would require, production costs or timelines.

    Wisnoski said Vinacomin has already done some preliminary work on production costs for the Nhan Co project, and Alcoa will review their estimates as part of its due diligence. The feasibility study for the Gia Nghia project will likely begin immediately, he said.

    Rail and port infrastructure to ship the alumina to export markets will likely have to be built, and Alcoa plans to discuss how to cooperate with Vinacomin to fund their construction, Wisnoski said. "We have agreed to look at that, and possibly invest in that."

    While some of the alumina will be sold domestically, a significant portion will be exported, especially initially as Vietnam doesn''t have any aluminum smelters.

    "We''ll use as much as we can domestically, and we also want to grow our presence in Asia and want to look at how we can move that," Wisnoski said, adding that some of the alumina may be shipped to an aluminum smelter Alcoa is considering building in Brunei Darussalam.

    Vietnam''s prime minister ***************, who is visiting the U.S., will be on hand to witness the signing of the cooperation agreement, along with U.S. Secretary of Commerce Carlos Guiterrez, according to Alcoa''s press release.

    U.S.-Vietnam Cooperation on Economic Development, Trade and Investment

    The United States and Vietnam will continue to deepen economic ties through expanded trade and investment between the two nations.

    Vietnam''s economic reforms have resulted in an average annual economic growth of 7.5 percent during the last decade, with Vietnam?Ts economy growing at a rate of 8.5 percent last year. As Vietnam''s third largest trade partner and its largest export market, the United States has benefitted from the strong trade relations, as has Vietnam. In 2007, total two-way trade in goods between the United States and Vietnam was $12.53 billion, an increase of 29 percent from 2006 that also reflects a 73 percent increase in U.S. exports to Vietnam. By any measure, the United States is an important economic partner for Vietnam.

    Prime Minster ***************''s current visit to the United States highlights the importance of trade and investment cooperation between United States and Vietnam, and the two countries will work closely together to:

    - Enhance economic cooperation and help promote bilateral investment by launching negotiations on a bilateral investment treaty in order to provide greater predictability and transparency for investors.
    - Improve the trade and investment environment of both nations by addressing areas discussed during the ongoing dialogue under the Trade and Investment Framework Agreement (TIFA), including market access for U.S. beef and Vietnamese agricultural products and implementation of WTO commitments. Signed one year ago, the TIFA provides a useful forum for the discussion and resolution of bilateral trade and investment issues.
    - Promote economic development by building greater aviation links between the two nations, including such steps as:
    Commencing negotiations on an Open Skies Agreement in October 2008.
    - Signing an agreement to cooperate on a project to improve Vietnam?Ts aviation oversight capabilities.
    - Making progress on Vietnam?Ts accession to the Cape Town Treaty, which will improve the terms under which Vietnam finances aircraft purchases.
    Collaborate and assist in improving Vietnam''s transportation logistics system through a U.S. Trade and Development Agency port feasibility study.
    Achieve compliance with U.S. requirements for the export of Vietnamese dragon fruit to the United States.
    Strengthen food safety systems, by:
    o Providing over $200,000 from the U.S. Department of Agriculture for the Food and Agricultural Export Alliance that, combined with U.S. private sector contributions, will strengthen Vietnam?Ts food safety legislation and training for officials to better assess risk in the country?Ts food supply.
    o Signing a memorandum of understanding that provides for cooperation between U.S. and Vietnamese authorities on meeting U.S. regulatory standards for the safety of food, medicine and animal feed.
